Terms of Service

By accessing or using the MikaMe platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Golden Brown AI Technologies Ltd. ("MikaMe", "we", "us", or "our").

To use certain features of the Service, you must create an account. You must be at least 18 years old or be an authorized representative of a company to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

One company may have only one account. Multiple accounts for the same company are prohibited unless expressly authorized by MikaMe.

MikaMe provides an AI-powered photo transformation platform for corporate events. The Service includes:

• Event creation and management dashboard
• Magic link system for participant access (no app download required)
• AI photo transformation using style-based algorithms
• Photo approval workflows for event organizers
• Live Wall display for real-time photo sharing
• Photo gallery and download functionality

The Service is offered on a per-event pricing model. Photo packages (S, M, L, XL, XXL) determine the number of AI transformations available for each event.

All prices are displayed in local currency (ILS for Hebrew users, USD for others). Prices are subject to change with 30 days notice.

Refunds are available only before an event starts. Once an event has begun (status: "live"), no refunds will be issued.

Ownership: You retain ownership of all photos you upload to the Service. MikaMe does not claim ownership of your content.

License Grant: By uploading photos, you grant MikaMe a limited, non-exclusive, worldwide license to process, transform, store, and display your photos solely for the purpose of providing the Service.

AI-Generated Content: AI-transformed images are jointly owned by you and MikaMe. You have full rights to use, download, and share transformed images for personal and commercial purposes.

Company Events: For photos taken during company events, the Company that created the event has the right to use all approved photos for internal and promotional purposes.

You agree NOT to use the Service to:

• Upload, create, or distribute illegal content
• Create deepfakes for fraud, impersonation, or deception
• Create or distribute non-consensual intimate images
• Harass, defame, or threaten any individual
• Distribute malware, spam, or phishing content
• Infringe on third-party intellectual property rights
• Reverse engineer or attempt to extract AI models
• Resell or redistribute the Service without authorization

MikaMe reserves the right to moderate, remove, or refuse any content that violates these Terms.

The MikaMe platform, including its design, user interface, AI styles, logos, and trademarks, are owned by Golden Brown AI Technologies Ltd. and are protected by intellectual property laws.

Users retain ownership of their original photos. Companies own event-related content created on their behalf.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

AI transformation results are not guaranteed. The quality and style of transformations may vary.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MIKAME'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC EVENT IN QUESTION.

To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless MikaMe, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any content you upload to or share through the Service
• Any claims by Event Participants related to your events

We are not obligated to backup any User Content. Your photos, event data, and other content may be deleted at any time without prior notice in accordance with our data retention policies (30 days after event ends).

You are solely responsible for creating and maintaining your own backup copies of your User Content if you desire to retain it beyond the retention period.

We recommend downloading all photos and event data before your event's 30-day retention period expires.

Photo packages are intended for legitimate event use. The Service is subject to reasonable usage limits to ensure quality for all users.

Prohibited activities include:

• Automated or bulk photo processing beyond normal event usage
• Reselling access to the Service or sharing accounts
• Using the Service to operate a competing or commercial photo processing business
• Circumventing usage limits through multiple accounts or technical means

Violations may result in suspension or termination of your account without refund.

When you create an event, you receive a unique magic link and code that allows participants to access your event and upload photos.

You are solely responsible for who you share your event's magic link with. We have no control over third-party access once you share the link.

• Keep your magic link secure and share only with intended participants
• Enable photo approval if you want to review uploads before they appear publicly
• You may regenerate a new magic link if the existing one is compromised

You may cancel your account at any time by contacting us. Upon cancellation, your data will be deleted in accordance with our Privacy Policy.

MikaMe may suspend or terminate your access to the Service immediately if you violate these Terms or engage in fraudulent or harmful activities.

Governing Law: These Terms are governed by the laws of the State of Israel.

Jurisdiction: Any disputes shall be resolved exclusively in the courts of Tel Aviv-Jaffa, Israel.

Arbitration: For B2B disputes, parties may opt for binding arbitration as an alternative to court proceedings.

Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

We may modify these Terms at any time. Material changes will be communicated with at least 30 days notice via email or through the Service.

Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
